Palin — Terms & Conditions
Palin is a social platform designed to help people build real community through events, conversations, and shared experiences.
These Terms & Conditions (“Terms”) govern your access to and use of the Palin website, mobile apps, and related services (collectively, the “Service”).
The Service is operated by:

By creating an account, accessing, or using Palin, you agree to these Terms. If you do not agree, do not use the Service.
You may use Palin only if:
•
you are at least 16 years old;
•
you are legally capable of entering into a binding agreement; and
•
your use of the Service is not prohibited by applicable law.
If you use Palin on behalf of an organization, you represent that you are authorised to bind that organization to these Terms.
You are responsible for your account and for activity that occurs under it.
•
provide accurate information;
•
keep your login credentials secure;
•
update your information if it changes; and
•
notify Palin promptly if you believe your account has been accessed without authorisation.
You may not sell, transfer, lend, or share your account except where explicitly permitted by us.
We may suspend or terminate accounts that are insecure, misleading, fraudulent, abusive, or used in violation of these Terms. We may also suspend or delete accounts that remain inactive for an extended period, where reasonably practicable with prior notice.
Palin provides tools that let users create profiles, publish content, join conversations, organise events, manage guest lists, message others, and participate in communities.
Some areas of the Service may be public or visible beyond your immediate contacts. In particular:
•
profiles, events, posts, comments, guest list information, or other content may be visible to other users or, in some cases, to non-users;
•
visibility depends on the features you use and the settings available at the time; and
•
you are responsible for what you choose to post or make visible.
Palin is not a telecommunications provider, emergency service, background-check service, or guarantor of identity, intent, legality, or offline conduct.
“User Content” means any content you upload, submit, publish, send, display, or otherwise make available through the Service, including text, images, profile information, event details, comments, messages, and other materials.
You keep ownership of your User Content.
However, by posting or sharing User Content through the Service, you grant Palin a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, adapt, format, modify only as technically necessary, display, perform, distribute, and make available that content for the purpose of:
•
operating and providing the Service;
•
displaying, distributing, and promoting your events, profiles, and related content within the Service;
•
displaying and sharing content according to your choices and the Service’s functionality;
•
maintaining safety and moderation systems;
•
improving and securing the Service; and
•
complying with legal obligations.
Displaying and distributing user-created events and related content is a core purpose of Palin. By uploading content, you agree that Palin may display it as described above for as long as it remains on the Service, and you will not assert claims against Palin for use of your User Content consistent with this licence.
This licence ends when your content is deleted from the Service, except to the extent that:
•
the content has already been shared with others who retained it;
•
retention is reasonably necessary for backups, legal compliance, fraud prevention, dispute resolution, or enforcement; or
•
continued limited storage is technically unavoidable for a reasonable period.
You represent and warrant that:
•
you have the rights needed to post the User Content;
•
your User Content does not violate law or third-party rights; and
•
your User Content complies with these Terms.
§6 Private messages and limited-access content
Some features may allow private or restricted sharing. Palin will treat such content according to your settings and the design of the Service, but you acknowledge that:
•
no system can be guaranteed perfectly secure;
•
recipients may copy, save, forward, screenshot, or disclose content; and
•
Palin may access or review content where reasonably necessary for safety, support, technical maintenance, legal compliance, or enforcement of these Terms, as described in the Privacy Policy.
§7 Community standards and prohibited conduct
You agree not to use Palin to do any of the following:
•
break the law or encourage others to do so;
•
threaten, harass, stalk, bully, intimidate, or abuse others;
•
post defamatory, fraudulent, deceptive, or misleading content;
•
impersonate another person or misrepresent your identity, affiliation, age, or authority;
•
publish someone else’s personal data without a lawful basis or consent where required;
•
upload malware or interfere with the Service’s security, integrity, or operation;
•
scrape, harvest, crawl, or collect data from the Service by automated means without permission;
•
spam, mass-message, manipulate engagement, or create fake accounts;
•
infringe intellectual property, privacy, publicity, or other rights;
•
post or distribute content involving sexual exploitation of minors, illegal violence, terrorist content, or other clearly illegal material;
•
use the Service to organise, promote, or facilitate harmful, exploitative, or unlawful offline conduct;
•
attempt to bypass restrictions, moderation actions, or account suspensions.
We may publish additional rules, feature-specific standards, or safety guidance. Those rules form part of these Terms.
§8 Reporting, moderation, and enforcement
Users may report content, accounts, messages, events, or other activity that they believe is illegal, harmful, or in breach of these Terms by using available in-app reporting tools or by contacting us at hello@palin.app.
Palin may investigate suspected violations of these Terms or applicable law and may take proportionate action where reasonably necessary for safety, legal compliance, abuse prevention, security, or protection of the Service, its users, or third parties.
•
removing or restricting content;
•
limiting distribution or visibility;
•
suspending feature access;
•
suspending or terminating accounts; and
•
reporting matters to authorities where required or where we reasonably believe doing so is necessary to comply with law or address serious harm.
We may base our decisions on user reports, automated indicators, human review, contextual assessment, legal requests, or other relevant safety and compliance factors. We are not required to host, maintain, or restore any particular content.
Where reasonably possible and legally permitted, we will take enforcement measures in a proportionate manner and, where appropriate, consider the nature, severity, frequency, and context of the suspected breach.
Where required by applicable law, including for certain users in the European Union, we will provide the explanations, complaint options, appeal mechanisms, and other redress information required for relevant moderation decisions. We may also offer similar review options voluntarily in other cases, but are not obliged to do so unless required by law.
Where required by applicable law, users in the European Union may have access to an internal complaint-handling process for eligible moderation decisions and, where provided by law, the right to refer disputes to certified out-of-court dispute settlement bodies or pursue other legal remedies.
Nothing in these Terms requires Palin to proactively monitor all content or communications. However, we may review content or activity where reasonably necessary for safety, support, technical maintenance, investigation of suspected abuse, legal compliance, or enforcement of these Terms. The fact that we review or fail to review any content does not amount to an endorsement or guarantee of legality, safety, or accuracy.
§9 Events, guest lists, and offline interactions
Palin may help users discover each other, manage guest lists, and organise in-person events. We do not organise, control, supervise, endorse, or guarantee user-created events, guest lists, venues, attendees, hosts, or outcomes unless explicitly stated otherwise.
You participate in events and offline interactions at your own risk.
You are solely responsible for:
•
verifying information about an event or participant;
•
using appropriate judgment and caution;
•
complying with local laws and venue rules; and
•
arranging your own insurance, transport, safety precautions, and emergency planning where relevant.
To the maximum extent permitted by law, Palin is not liable for injury, loss, damage, dispute, crime, misconduct, or other harm arising from user interactions or events, except where such liability cannot lawfully be excluded or limited.
§10 Intellectual property in the Service
The Service itself, including its software, design, branding, logos, text, graphics, interfaces, and underlying technology, is owned by or licensed to Palin and is protected by intellectual property laws.
Except for the limited right to use the Service under these Terms, no rights are granted to you.
You may not copy, modify, reverse engineer, extract source code from, decompile, create derivative works from, or exploit any part of the Service except where applicable law permits this despite contractual restriction.
If you provide suggestions, ideas, bug reports, or other feedback, you grant Palin a non-exclusive, worldwide, royalty-free licence to use that feedback for the purpose of operating, improving, and developing the Service, without compensation to you.
§12 Payments, tickets, supporter subscriptions, and donations
Palin does not sell digital subscriptions, digital content, or premium digital features. All paid offerings on the platform relate to real-world events or are voluntary donations to organisers and other creators.
Three types of purchases are available through the Service:
•
Tickets to real-world events created by organisers;
•
Supporter subscriptions, where you support an organiser with a recurring payment in exchange for benefits relating to that organiser’s real-world events (such as access to private events); and
•
Donations, where you support an organiser or other creator with a voluntary recurring payment of an amount you choose, without receiving any benefit, content, or service in return.
When you buy a ticket, subscribe to an organiser, or donate, your contract is with the organiser or creator, not with Palin. The organiser is the seller and is responsible for the event, its description, delivery, cancellation, and refunds. Palin provides the platform and payment facilitation and charges organisers a service fee.
All payments are processed by Mollie, with the organiser as the merchant. Palin does not sell digital goods or services and does not use Apple App Store or Google Play in-app purchase systems. Mollie’s terms may apply in addition to these Terms. Palin is not responsible for third-party billing systems and cannot guarantee the availability of any store-specific billing, cancellation, or refund functionality.
Before purchase, the price, billing period (for subscriptions and donations), renewal terms, and cancellation method will be shown. Supporter subscriptions and donations renew automatically until cancelled and can be cancelled at any time with effect from the end of the current billing period. An organiser may also cancel a supporter subscription or donation on their side, for example when they stop offering support options or disconnect their payment account; in that case no further payments are collected and any benefits remain available until the end of the period you have already paid for.
Ticket refunds. Refunds for tickets you cancel yourself are governed by the organiser’s refund policy, which is shown to you before purchase. A refund policy consists of one or more refund percentages that decrease as the event start approaches (for example, 90% until two weeks before the start). If an organiser has not set their own policy, a default refund policy provided by Palin applies. An organiser may also offer no refunds at all. Refund percentages for self-cancellation are always below 100% (currently capped at 90%).
When you cancel a paid ticket yourself, the refund is calculated from the applicable percentage of the ticket price and is additionally reduced where necessary so that non-refundable costs — Palin’s service fee and payment-processing fees — are not refunded. The actual refund amount can therefore be lower than the stated percentage, and is shown to you before you confirm the cancellation.
If the organiser cancels an event or an individual session, attendees with paid tickets are refunded in full automatically.
Subscription and donation refunds. Supporter-subscription and donation charges are non-refundable, except where you have a statutory right of withdrawal (see §12A) or the organiser grants a refund at their discretion. If a charge is refunded in full, the associated subscription or donation ends immediately.
Palin does not itself owe refunds for organiser offerings, except where required by mandatory law. Any refund granted by Palin outside a legal or contractual obligation is entirely discretionary and does not create a right to the same or similar refund in the future.
Every paid offering on Palin — including every ticket and every supporter-subscription benefit — must relate to attendance at, or benefits connected with, real-world, physically attended events. The only exception is donations, which are pure voluntary support and grant no benefit of any kind. Organisers may not sell or bundle digital goods or services of any kind, including video content, recorded or live-streamed courses, online classes or workshops, downloads, digital memberships, or other content consumed online, and may not present donations as granting access to such goods or services. Palin may remove or modify offerings that violate this rule and may suspend organisers who repeatedly do so.
Access to paid benefits may be suspended or end if payment fails, is reversed, a subscription expires, or a subscription is cancelled by you or the organiser (in the latter cases with effect from the end of the paid period, as described above).
Nothing in this Section limits any non-waivable rights you may have under applicable consumer-protection law.
If you are a consumer, any mandatory rights you may have under applicable law regarding paid offerings purchased through the Service — including any statutory right of withdrawal for distance contracts — remain unaffected by these Terms, except to the extent the law allows such rights to be reduced, lost, or waived and the required legal conditions are met.
§13 App stores and payment providers
If you download the app through the Apple App Store or Google Play, you acknowledge that:
•
these Terms are between you and Palin, not with Apple or Google;
•
Apple and Google are not responsible for the Service except as required under their own terms or applicable law; and
•
app store operators may have rights as third-party beneficiaries where their terms require it.
All purchases are processed by Mollie, not through in-app purchase systems.
Your use of the Service is also governed by the Privacy Policy, which explains how personal data is processed.
By using Palin, you acknowledge that personal data will be processed as described in the Privacy Policy.
§15 Service availability and changes
We may modify, update, suspend, or discontinue parts of the Service where reasonably necessary for legitimate operational reasons, including security, legal compliance, abuse prevention, technical maintenance, product improvement, or changes to third-party dependencies or infrastructure.
We do not guarantee that the Service, or any feature, will always be available, uninterrupted, secure, or error-free.
We may release updates, patches, or changes that affect functionality, design, interoperability, or availability.
Where required by applicable law, we will give reasonable notice of material adverse changes and, where applicable, inform affected users of any available rights or remedies.
To the maximum extent permitted by law, the Service is provided “as is” and "as available."
Palin disclaims warranties only to the extent permitted by applicable law. In particular, we do not warrant that:
•
the Service will meet your expectations or needs;
•
any user is who they claim to be;
•
content will be accurate, lawful, safe, or reliable;
•
any event, guest list, or interaction will be suitable or risk-free; or
•
the Service will be uninterrupted, secure, or free from bugs or harmful components.
Nothing in these Terms excludes warranties, remedies, or rights that cannot lawfully be excluded.
§17 Limitation of liability
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law. In particular, nothing in these Terms excludes or limits liability for wilful misconduct, gross negligence, fraud, death or personal injury caused by negligence where such liability cannot lawfully be excluded or limited, or any mandatory consumer rights or remedies.
To the maximum extent permitted by applicable law, Palin and its operator shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data, or reputation, arising out of or related to the Service or these Terms.
To the maximum extent permitted by applicable law, Palin’s total aggregate liability for claims arising out of or relating to the Service shall not exceed:
•
the total amount of service fees Palin earned from your purchases in the 12 months before the event giving rise to the claim; or
•
CHF 100, if no such fees were earned.
This Section applies only to the extent permitted by applicable law. It does not limit any liability, remedy, or statutory right that cannot lawfully be excluded or limited.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Palin, its operator, and affiliated persons from third-party claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising directly out of:
•
your unlawful User Content;
•
your infringement of third-party intellectual property, privacy, publicity, or other rights; or
•
your intentional misuse of the Service in breach of these Terms or applicable law.
This clause does not require you to indemnify Palin for Palin’s own fault, unlawful conduct, or any matter for which indemnification is not permitted under applicable law.
If you are using the Service as a consumer, this Section applies only to the extent permitted by applicable law and will be interpreted narrowly.
§19 Intellectual property complaints
If you believe that content on Palin infringes your intellectual property rights, you may contact us at hello@palin.app with sufficient detail for us to assess the complaint, including identification of the claimed right, the allegedly infringing content, and your contact details.
We may remove or restrict access to content where we reasonably believe this is appropriate or legally required.
§20 Account deletion, suspension, and termination
You may stop using Palin at any time.
You may delete your account at any time in your account settings. Before deletion, you must cancel or delete any future events you host and any organizations you administer. Upon deletion, your content is removed or anonymized from the Service as described in the Privacy Policy, subject to the limited retention exceptions in §5.
We may suspend or terminate your access where reasonably necessary if:
•
you materially or repeatedly violate these Terms;
•
we reasonably believe your use creates legal, security, or safety risk;
•
we are required to do so by law or binding order;
•
your account appears fraudulent, deceptive, or abusive; or
•
continuing to provide the Service to you is no longer reasonably possible for legal, technical, or operational reasons.
Where reasonably practicable and legally permitted, we may provide notice or an explanation for suspension or termination.
Where appropriate, we may use less restrictive measures before suspension or termination, such as warnings, content restrictions, or temporary feature limits.
Upon termination, your right to use the Service ends immediately. Clauses that by their nature should survive termination will continue to apply, including those on liability, intellectual property, feedback, prior content rights reasonably required for operation and compliance, payment obligations accrued before termination, and dispute resolution.
§21 Changes to these Terms
We may update these Terms from time to time for legitimate reasons, including changes to the Service, security, legal or regulatory requirements, abuse prevention, or clarification of existing terms.
If we make material changes, we will take reasonable steps to notify users, such as by posting the updated Terms in the Service, updating the “Last updated” date, or providing an in-app or email notice where appropriate.
For changes affecting the use of the Service generally, the updated Terms will take effect on the date stated in the notice. By continuing to use the Service after the updated Terms take effect, you agree to the revised Terms, to the extent permitted by applicable law.
For users with an active supporter subscription or donation, material adverse changes affecting that subscription or donation will apply only as permitted by applicable law. Where required, we will give advance notice, and such changes will take effect at renewal unless earlier application is legally permitted and accompanied by any required rights or remedies.
Nothing in this Section limits any non-waivable rights you may have under applicable consumer-protection law.
These Terms are governed by the laws of Switzerland, excluding its conflict-of-law rules.
Where mandatory consumer protection laws in your country of residence apply and cannot be contractually excluded, those mandatory protections remain unaffected.
Unless mandatory law provides otherwise, the courts of Basel, Switzerland shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
If you are a consumer and mandatory law grants you the right to bring claims in your place of residence, that right remains unaffected.
If any provision of these Terms is held invalid, unenforceable, or unlawful, the remaining provisions will remain in full force to the extent possible.
If Palin does not enforce a provision of these Terms, that does not mean it waives the right to do so later.
These Terms, together with the Privacy Policy and any additional rules or policies expressly incorporated by reference, form the entire agreement between you and Palin regarding the Service and replace prior agreements relating to the same subject matter.
